B2B Terms & Conditions
B2B Terms & Conditions
These Business Terms & Conditions apply to all sales made by COHEAL Ltd to business customers and sole traders. They are in addition to our general Terms of Service, Refund Policy, Shipping Policy and Privacy Policy. If there is any conflict between these Business Terms and those documents, these Business Terms prevail for business orders.
1. Who these terms apply to
These terms apply when you buy from us wholly or mainly for the purposes of your business, trade, craft or profession (including as a limited company, partnership, sole trader or other business entity) — a “Business Customer”. By ticking “I’m buying as a business or sole trader” at checkout you confirm that you are a Business Customer and that you have read and agree to these terms.
If you are buying as a consumer for personal use, these B2B terms do not apply to you and your statutory consumer rights are unaffected.
2. Definitions
- “We”, “us”, “our” means COHEAL Ltd, a company registered in England and Wales under company number 15208848, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
- “You”, “your” means the Business Customer placing the order.
- “Goods” means the products you order from us.
- “Order” means your order for Goods submitted through our website.
3. Business status and VAT
You are responsible for providing accurate business details at checkout, including your company name and, where applicable, your VAT registration number. Entering a VAT number is optional and does not by itself change the VAT treatment of your order — all prices are quoted and charged inclusive of any applicable UK VAT unless stated otherwise. A valid VAT invoice will be provided for your records. It is your responsibility to reclaim any VAT through your own tax return where you are entitled to do so.
4. Orders and acceptance
Your Order is an offer to buy Goods from us. A contract is formed only when we send you an order confirmation or dispatch the Goods, whichever is earlier. We may decline or cancel any Order (for example where Goods are unavailable, where there is a pricing or description error, or where we are unable to verify your business details) and will refund any sum already paid for that Order.
5. Prices and payment
Prices are those displayed on our website at the time of Order and are inclusive of VAT unless stated otherwise. Delivery charges are calculated at checkout. Payment is due in full at the time of Order unless we have agreed a credit account with you in writing. Where we agree a credit account, invoices are payable within 30 days of the invoice date and we may charge interest and compensation on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to correct obvious pricing errors before dispatch.
6. Delivery, title and risk
Delivery timescales are estimates only and time is not of the essence. Risk in the Goods passes to you on delivery. Title (ownership) in the Goods does not pass to you until we have received payment in full. The charges for failed deliveries, refused or uncollected shipments and redeliveries set out in our Refund Policy and Shipping Policy also apply to business orders.
7. Professional and regulated products
Many of our Goods are intended for professional use only. By ordering as a Business Customer you confirm that you and your staff hold any qualifications, training, licences or registrations required to purchase, hold and use the Goods lawfully, and that the Goods will be used in accordance with the manufacturer’s instructions and all applicable health, safety and hygiene regulations. You are solely responsible for the suitability of the Goods for your intended use.
8. Returns and cancellations (business orders)
The statutory 14-day consumer “cooling-off” right does not apply to business purchases. Faulty, damaged or incorrectly supplied Goods are dealt with under section 9. Returns of non-faulty Goods are accepted only by our prior written agreement, requested within 14 days of delivery. Such Goods must be unused, in their original sealed packaging and in resalable condition, you pay the cost of returning them, and we will deduct a restocking fee of 15% of the price of the returned Goods, which we will confirm before you send them back. Items that are not suitable for return once opened for hygiene, safety or sterility reasons cannot be returned once opened. Pre-order products cannot be cancelled or returned unless faulty. To start a return, contact us at info@coheal.co.uk before sending anything back.
9. Faulty or incorrect goods
Please inspect all Goods on delivery and notify us of any shortage, transit damage or incorrect item visible on inspection within 7 days of receipt. Other defects must be notified within a reasonable time after you discover them. Where Goods are confirmed faulty or incorrectly supplied, we will (at our option) repair, replace or refund them, and we will pay the reasonable cost of returning them. Nothing in these terms excludes your rights under the Sale of Goods Act 1979 except to the extent permitted by the Unfair Contract Terms Act 1977.
10. Warranties and limitation of liability
Where Goods carry a manufacturer’s warranty, that warranty is passed to you as available. To the fullest extent permitted by law, our total liability to you in connection with any Order shall not exceed the price paid for the Goods giving rise to the claim, and we shall not be liable for any indirect or consequential loss, loss of profit, loss of business, or loss of goodwill. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded by law.
11. Intellectual property
All trade marks, product images, descriptions and content on our website remain our property or that of our suppliers and may not be copied or reused without our written permission.
12. Data protection
We process your business and contact data in accordance with our Privacy Policy and applicable UK data protection law.
13. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supply shortages, carrier delays, strikes, or acts of government.
14. Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

16. General
We may update these terms from time to time; the version in force when you place your Order applies to that Order. If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in force. No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
